1. Definitions

• "Dynarq", "Company", "we", "our", "us" - Refers to Dynarq and its representatives
• "Client", "you", "your" - Refers to the person or entity using our services
• "Services" - Web development, software development, AI solutions, and related services
• "Deliverables" - Final products, code, designs, and materials created for the client
• "Website" - dynarq.com and all associated pages
• "Project Agreement" - Separate contract signed for specific projects

3.1 Initial Consultation

All projects begin with a free consultation to understand your requirements. No commitment is required at this stage.

3.2 Proposal & Agreement

Upon agreeing to proceed, you will receive:

• Detailed project proposal with scope and deliverables
• Timeline and milestone breakdown
• Pricing and payment schedule
• Project Agreement for signature

3.3 Project Execution

Work begins after:

• ✅ Signed Project Agreement received
• ✅ Initial deposit payment received (typically 50%)
• ✅ Required materials/access provided by client

4. Payment Terms

4.1 Pricing

Prices displayed on our website are starting rates and may vary based on project complexity. Final pricing is confirmed in the Project Agreement.

4.2 Payment Schedule

4.4 Late Payments

Payments are due within 7 days of invoice date. Late payments may result in:

• Project work suspension
• Late fee of 5% per month

5. Client Responsibilities

To ensure successful project delivery, you agree to:

• ✓ Supply necessary content, images, and materials on time
• ✓ Respond to queries and feedback requests within 48 hours
• ✓ Provide necessary access (hosting, domains, APIs, etc.)
• ✓ Review deliverables and provide feedback promptly
• ✓ Make payments according to the agreed schedule

6. Intellectual Property

6.1 Ownership Transfer

Upon full payment, you receive full ownership and rights to:

• Custom code written specifically for your project
• Custom designs and graphics created for you
• Documentation and materials specific to your project

6.2 What We Retain

• Rights to reusable components and frameworks
• Internal tools and methodologies
• Right to display work in our portfolio (unless agreed otherwise)

6.3 Third-Party Components

Your project may include third-party libraries, plugins, or assets subject to their own licenses (e.g., MIT, Apache, GPL). We will inform you of any such components.

7. Revisions and Changes

7.1 Included Revisions

Project proposals typically include 2-3 rounds of revisions at each milestone. Additional revisions may incur extra charges.

7.2 Scope Changes

Significant changes to project scope after agreement signing may require:

• Revised timeline
• Additional charges
• Amendment to the Project Agreement

8. Project Cancellation

8.1 By Client

If you cancel a project:

• All work completed to date must be paid for
• Initial deposit is non-refundable
• Completed deliverables will be handed over upon payment

8.2 By Dynarq

We may cancel a project due to:

• Non-payment by client
• Unethical or illegal project requirements
• Breach of these Terms or Project Agreement
• Extended client unresponsiveness (30+ days)

9. Warranties and Limitations

9.1 Our Warranties

• Deliverables will match agreed specifications
• Work will be completed with professional care
• 30-day bug fix support after project completion (for bugs in our code)

9.2 Limitations

We are not responsible for:

• Issues caused by third-party services or hosting
• Changes made by client or others after delivery
• Browser compatibility issues with outdated browsers
• Business outcomes or results from using deliverables
• Issues arising from incorrect client-provided information

9.3 Liability Cap

Our maximum liability shall not exceed the total amount paid by you for the specific project.

10. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project engagement, including but not limited to:

• Business strategies and plans
• Technical specifications and source code
• Customer data and analytics
• Financial information

This obligation continues for 2 years after project completion.

11. Website Use Terms

When using our website, you agree not to:

• ❌ Use automated tools to scrape or access the site
• ❌ Attempt to gain unauthorized access
• ❌ Submit false information through forms
• ❌ Interfere with website functionality
• ❌ Copy or reproduce content without permission

12. Dispute Resolution

In case of disputes:

1. Direct Resolution - We will first attempt to resolve issues through direct communication
2. Mediation - If unresolved, we may agree to mediation
3. Arbitration - Binding arbitration as a final resort

These Terms are governed by the laws of Sri Lanka.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the new Terms.

For ongoing projects, the Terms in effect at the time of signing the Project Agreement will apply.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
